Overview
In his finance practice, Michael represents clients in all aspects of public finance transactions, primarily as underwriter's counsel, issuer's counsel and trustee's counsel. His practice emphasizes representation of commercial and investment banks in structuring taxable financing. He regularly assists issuers and underwriters in the preparation of disclosure documentation and related due diligence matters. Michael's practice as bond and letter of credit bank counsel has been concentrated in variable rate demand bond financing, including managing substitute letters of credit and negotiating structural issues with rating agencies. He regularly serves as trustee's counsel for bank corporate trust departments, including economic development project financing; health care; water, gas and sewer issures; education (secondary and higher education); and other types of issues.
He has extensive experience practicing before the staff of the Alabama Securities Commission, representing broker-dealers and investment advisors, and their representatives, with compliance and other regulatory issues. He has served on the Alabama Law Institute Committee considering revisions to the Alabama Securities Act.
In his general corporate practice, Michael regularly advises Alabama and Delaware corporations, limited partnerships and limited liability companies regarding statutory and constitutional issues. He plays a leading role in the firm's corporate law opinion practice.
