Overview
Max is an Associate in Maynard Nexsen’s Complex & Commercial Litigation practice group.
Max is a skilled contract attorney who assists clients with corporate governance issues, corporate securities matters, financing transactions, shareholder agreements and the issuance of debt and equity securities.
He has experience drafting motions, demand letters, legal memoranda, draft pleadings, operating agreements, corporate resolutions, shareholder agreements, accredited investor questionnaires, disclosure schedules, promissory notes and pledge agreements. He also analyzes corporate documents pertaining to shareholder buy-out agreements, LLP agreements, entity formation documents, business purchase agreements and private securities offerings.
Max has a background supporting business law, private equity and mergers and acquisitions work. He regularly advises clients on corporate governance, entity formation, and professional practice transitions, as well as drafts operating agreements and corporate resolutions, among other general counsel duties.
Prior to joining Maynard Nexsen, Max clerked for the Honorable Roger M. Young, Sr. of South Carolina’s Ninth Judicial Circuit. He also worked as a bipartisan staff assistant during hearings for Supreme Court Justice Amy Coney Barrett and a research assistant to the Chairman of the U.S. Senate Committee on the Judiciary, a role that provided him with a thorough understanding of complex federal antitrust and bankruptcy issues.
Max holds a J.D. from the University of South Carolina School of Law, where he served as research editor for The South Carolina Journal of International Law & Business. He earned his B.B.A. in Finance from the University of Wisconsin – Milwaukee. While at UWM, Max was a member of the NCWSA men’s competitive three-event tournament water ski team.
