Overview
Stacy is Of Counsel in Maynard Nexsen’s Private Markets practice group. She is a corporate and securities attorney who concentrates her practice on capital market transactions, primarily in connection with private fund formation and ongoing corporate operations and compliance.
Stacy is experienced in mergers, acquisitions, and divestitures; joint ventures and other strategic partnerships; corporate formation, reorganizations, and governance; and other general corporate law matters. She has represented clients across a broad range of industries, including real estate, technology, energy, transportation, and financial services.
She represents clients on the development and ongoing management of securities offerings, including drafting PPMs, supplements, term sheets, company agreements, subscription agreements, and ancillary offering documents. She supports clients with the completion of necessary federal and state securities filings and the formation of joint ventures and other strategic partnerships, including drafting limited partnership agreements, joint venture agreements, investment management agreements, and ancillary corporate documents such as consents, proxies, and investor communications. She also advises clients on securities laws and regulatory obligations, including the Securities Act, Advisers Act, various state securities laws, and FINRA compliance.
Stacy was recognized by Best Lawyers: Ones to Watch in 2021 and 2022 for her work in corporate law and mergers and acquisitions. She has held a Texas real estate sales license for more than ten years and had a decade-long career as a marketing professional before attaining her law license.
She holds a J.D. from the Southern Methodist University Dedman School of Law and an M.B.A. from Norwich University. She earned her B.A. in Integrated Marketing Communications, magna cum laude, from Abilene Christian University.
